Terms of Service

These Terms of Service (the "Terms") govern access to and use of Mida, which is provided by Leedia Srl ("Leedia", "we", "our"). By creating an account or using the service you accept these Terms on behalf of yourself or the organization you represent.
1. Overview
Mida is a hosted service offered by Leedia to help organizations manage messaging channels. These Terms apply to all users, including organization administrators and end users. If you do not agree, you must not access the service.
2. Eligibility and Accounts
You must be at least 18 years old and have the authority to bind your organization to these Terms. Account credentials must be kept confidential. You are responsible for any activity carried out with your account. Notify Leedia immediately if you suspect unauthorized access.
3. Acceptable Use
You agree not to misuse the service. Prohibited activities include violating applicable law, sending unlawful or unsolicited content, interfering with the infrastructure, testing for vulnerabilities without permission, or attempting to access other users' data. Leedia may disable accounts that breach this clause.
4. Customer Data and Privacy
"Customer Data" means data that you or your end users submit to Mida. You retain all rights to Customer Data. You grant Leedia and its subprocessors a limited license to host, process, transmit, and display Customer Data solely to provide the service and comply with law. Our processing of personal data is described in the Privacy Policy.
5. Fees and Payment
Fees, billing cycles, and payment terms are defined in the order form or subscription plan agreed with Leedia. You remain responsible for all charges associated with your account. Late payments may result in suspension of access.
6. Service Availability
Leedia aims to keep Mida available and secure but does not guarantee uninterrupted service. Planned maintenance and urgent updates may result in temporary unavailability. Leedia is not responsible for outages caused by third-party providers such as hosting platforms or external messaging networks.
7. Suspension and Termination
You may terminate the service at any time according to the agreed notice period. Leedia may suspend or terminate access if you breach these Terms, fail to pay fees, or if required by law. Leedia will use reasonable efforts to give prior notice when practical. After termination, Leedia may delete Customer Data after any applicable retention period.
8. Liability
To the maximum extent permitted by law, Leedia is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, or data. Leedia's aggregate liability under these Terms will not exceed the amounts paid to Leedia for the service in the 12 months preceding the event giving rise to the claim.
9. Governing Law and Disputes
These Terms are governed by Italian law. Any dispute that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the courts of Milan, Italy, unless mandatory law prescribes a different forum.
